VendWise Terms of Service

These terms are an agreement between you and Nerds IV Technologies ("VendWise", "we", "us") for using VendWise at vendwisegh.com and in the VendWise apps. By creating an account or using VendWise, you agree to these terms. If you use VendWise for a business, you agree for that business.

VendWise is built for Jumia vendors and is not affiliated with Jumia. Jumia has not approved or endorsed VendWise.

1. What VendWise does

VendWise brings in your Jumia orders, products, fees, statements and weekly payouts, works out the profit on your sales after Jumia's charges and your costs, checks payouts and flags money Jumia may still owe you. We may add, change or remove features as VendWise grows.

2. Who can use it

You must be at least 18 and selling, or helping someone sell, on Jumia. You are responsible for keeping access to your phone number and email address secure, because they are how you sign in.

3. Your business and your team

• The person who creates a business is its owner. The owner can invite staff and accountants and choose what they can see and do.
• The owner is responsible for the people they invite and for what they do in VendWise.
• When you remove someone, they lose access to your business straight away.

4. Connecting Jumia

• You may connect only Jumia shops that you own or are authorised to manage.
• You connect by creating a Self Authorization app in Jumia Vendor Center and giving VendWise its Client Id and Refresh Token. If you generate a new token in Vendor Center, the old one stops working and you will need to reconnect.
• You remain bound by your agreement with Jumia. Jumia can change, limit or switch off its API at any time; when that happens some VendWise features may stop working, and we are not responsible for Jumia's systems, data or decisions.
• VendWise reads your Jumia data. It does not change your listings, prices or orders.

5. Figures, estimates and claims

• Some figures are estimates, for example fees before Jumia's statement arrives. VendWise labels them as estimates and replaces them with Jumia's real amounts when it has them.
• Profit figures depend on the costs you enter. If a cost is missing or wrong, the profit will be wrong.
• VendWise is a record and calculation tool. It is not accounting, tax, legal or financial advice. Check important figures against your Jumia statements before you rely on them.
• VendWise can prepare a claim message for Jumia support. You decide whether to send it, and Jumia decides the outcome. We do not promise that Jumia will pay any claim.

6. Free trial, prices and payment

• Every new business gets a 14 day free trial with every feature. No card or Mobile Money details are needed to start.
• After the trial, VendWise is a prepaid plan, priced by the number of shops:

• Prices are in Ghana cedis and VendWise is not registered for VAT, so no VAT is added. Businesses with more than 5 shops should contact us.
• Payments are taken by Paystack by Mobile Money or card and collected by PagezTech Ventures, a subsidiary of Nerds IV Technologies. PagezTech Ventures is the name you will see on your payment.
• Nothing renews by itself. Each payment covers one period. We remind you before it ends.
• If the trial or a paid period ends without payment, you have 3 days of full access after a paid period ends (none after the trial). Then your business becomes read only: you can still see all your data, but you cannot add, import or sync until you pay. We do not delete your data because you did not pay.
• Payments are not refundable. If you are charged twice or charged by mistake, tell us at hello@vendwisegh.com and we will return the extra payment.
• We may change prices. A new price applies only from your next payment, and we will tell you at least 14 days before.

7. Your data

• Your data is yours. You give us permission to store and process it only to provide VendWise to you, as the Privacy Policy explains.
• You can ask us for a copy of your data or ask us to delete your business at hello@vendwisegh.com. We will do it within 30 days.
• You are responsible for having the right to bring the data you import or sync into VendWise.

8. Fair use

You must not:

• try to access another business's data, or test VendWise's security without our written permission;
• copy, resell or rebuild VendWise, or scrape it;
• upload anything unlawful, harmful or that you have no right to use;
• use VendWise to break Jumia's rules or the law;
• overload or disrupt the service.

We may suspend or close an account that breaks these rules. Where we can, we will tell you first and give you a chance to fix it.

9. Availability

We work to keep VendWise running and your data safe, but we cannot promise it will always be available or free of errors. We may pause it for maintenance and will try to do that outside busy times. Some features may be marked as new or in testing.

10. Our responsibility

• VendWise is provided as it is. To the extent the law allows, we are not liable for indirect losses, such as lost profit, lost sales or decisions you made from figures in VendWise.
• To the extent the law allows, our total liability to you is limited to the amount you paid us in the 3 months before the problem happened.
• Nothing in these terms limits a liability that Ghanaian law does not allow us to limit.

11. Ending

• You can stop using VendWise at any time. Ask us if you want your data deleted.
• We may end the service with at least 30 days' notice. If you paid for time that we do not provide, we will refund that unused time.

12. Changes to these terms

If we change these terms in a way that matters, we will tell you in the app or by email at least 14 days before the change applies. If you keep using VendWise after that, the new terms apply.

13. Law

These terms are governed by the laws of Ghana. Any dispute goes to the courts of Ghana. We would rather sort it out together first, so please contact us.
